Legal & Billing

Terms of Service

These terms govern ConvoRev's managed AI conversation services, including implementation, subscriptions, trials, usage-based charges, cancellations, refunds, integrations, and customer responsibilities.

Effective and last updated: August 13, 2026

Important billing terms at a glance

Subscriptions renew automatically at the interval and price displayed at checkout or in your Order until cancelled. Cancel before the next renewal through an available billing portal or by emailing hello@convorev.com. Cancellation normally takes effect at the end of the current paid period.

Implementation work, custom work, consumed usage, carrier or third-party charges, and used credits are not refundable once incurred. The specific refund rules appear in Section 9 below.

1. Acceptance and authority

These Terms of Service (the "Terms") are a legal agreement between you and ConvoRev ("ConvoRev," "we," "us," or "our"). They govern your access to and use of https://convorev.com and ConvoRev's related implementation, managed AI conversation, integration, account, support, and optimization services (collectively, the "Services").

By purchasing, accessing, or using the Services, clicking to accept these Terms, or signing an Order that references them, you agree to these Terms. If you use the Services for a company or another person, you represent that you have authority to bind that entity, and "you" includes that entity.

You must be at least 18 years old and legally capable of entering into a binding agreement. If you do not agree to these Terms, do not purchase or use the Services.

2. Orders and agreement structure

An "Order" means a checkout page, payment link, proposal, order form, statement of work, invoice, or other written document that identifies Services, fees, billing frequency, included usage, term, or special conditions.

If an Order conflicts with these Terms, the Order controls only for that conflict. A signed data processing agreement controls for its subject matter. Customer purchase-order terms do not modify this agreement unless ConvoRev expressly accepts them in writing.

Service descriptions and public pricing may change. The scope and price accepted in your Order apply for the period stated there, subject to usage charges, taxes, approved changes, and renewal provisions.

3. The Services

ConvoRev is a managed AI conversation layer that works with supported customer systems. Depending on your Order, the Services may include discovery, knowledge preparation, agent configuration, testing, channel setup, qualification logic, integrations, human-handoff design, monitoring, optimization, reporting, and support.

ConvoRev is not a CRM, lead-generation guarantee, licensed professional adviser, emergency service, or fully autonomous employee. Features, supported channels, third-party connections, and underlying providers may change. We will not materially reduce paid Services during a committed term without a reasonable substitute, credit, or termination option, except when a change is required for security, law, or a third-party platform decision outside our reasonable control.

4. Accounts and authorized users

You must provide accurate account, billing, and contact information and keep it current. You are responsible for authorized users, account activity, credential security, and promptly removing access that is no longer required. Notify us immediately at hello@convorev.com if you suspect unauthorized access.

You may not share access outside your organization or resell, sublicense, or provide the Services to a third party unless an Order expressly authorizes agency, reseller, or client use. If authorized to use the Services for your own clients, you remain responsible for those clients' compliance and for having authority to provide their information and instructions to us.

5. Implementation and service fulfilment

ConvoRev sells digital and managed services; no physical goods are shipped. After the required payment is confirmed, we will contact you using the information in your Order to schedule onboarding or begin the agreed work. Unless an Order states otherwise, we aim to make initial onboarding contact within two business days.

Implementation and launch depend on your timely delivery of accurate knowledge, policies, approvals, credentials, platform permissions, brand materials, integration access, and test feedback. Dates are estimates unless an Order expressly identifies a guaranteed deadline. Customer delay, scope changes, third-party review, platform approval, or integration restrictions may extend delivery.

You must review and approve material agent instructions, knowledge, claims, escalation rules, and launch scope. We may use phased deployment, testing, monitoring, and reasonable safety limits.

6. Fees, usage, taxes, and payment

ImplementationSetup, strategy, knowledge preparation, configuration, integrations, testing, or launch work.
Managed serviceRecurring monitoring, optimization, maintenance, reporting, support, and account management.
UsageAI processing, messages, phone numbers, SMS, WhatsApp, carrier charges, or other measured consumption.
Advanced workAdditional agents, locations, channels, custom development, migrations, or expanded scope.

You agree to pay the fees, currency, billing frequency, minimum commitment, and usage rates disclosed in your Order. Prices exclude applicable sales, use, value-added, withholding, and similar taxes unless expressly stated otherwise. You are responsible for taxes other than taxes based on ConvoRev's net income.

By providing a payment method, you authorize ConvoRev and its payment processor, Stripe, to charge all amounts due, including recurring subscription fees, approved changes, applicable taxes, and disclosed usage or third-party charges. Some usage may be measured or reported after it occurs and may be invoiced after cancellation.

Where prepaid credits or top-ups are offered, they are a limited right to consume eligible Services, have no cash value, are non-transferable, and are applied using the rate disclosed when purchased. Used credits and incurred third-party costs are non-refundable except where required by law.

If payment fails or becomes overdue, we may retry the payment method, suspend affected Services, restrict usage, or terminate the account after reasonable notice. You remain responsible for undisputed amounts already incurred.

7. Subscriptions and automatic renewal

Unless an Order says otherwise, paid subscriptions automatically renew for successive periods equal to the billing interval shown at checkout or in the Order. On each renewal date, you authorize us to charge the then-applicable subscription price, taxes, and any due usage charges to your payment method.

We may change a recurring price for a future renewal by providing advance notice. If you do not agree with the change, you may cancel before the new price takes effect. Continuing the subscription after the effective date constitutes acceptance of the new price.

8. Trials and promotional access

If we offer a free or discounted trial, the trial length, included features or credits, usage rates, and post-trial price will be disclosed at signup or in your Order. Unless expressly stated otherwise, one trial is permitted per customer, trials may have limited capacity or support, and we may end access for abuse or prohibited activity.

If a payment method is collected and the signup states that the trial converts to a paid subscription, you authorize the first subscription charge when the trial ends and recurring charges afterward. To avoid that charge, cancel before the trial expiration date using an available customer billing portal or by emailing hello@convorev.com.

A trial may be free while AI, messaging, carrier, phone-number, top-up, or other usage remains payable if that is clearly disclosed in the offer. Amounts incurred during a pay-as-you-go trial remain due even if you cancel the subscription.

9. Cancellation and refund policy

How to cancel

You may cancel a subscription before its next renewal through an available Stripe customer billing portal or by emailing hello@convorev.com from an authorized account email. Include the business name and account email so we can verify the request. A cancellation email is timely if it is sent before the renewal time and is not returned as undeliverable. Cancellation takes effect at the end of the current paid billing period unless the Order states that it takes effect on another date, and access continues until then. We do not charge an additional cancellation fee unless an Order contains a specific minimum commitment or early-termination term.

Implementation and custom work

An implementation, onboarding, migration, integration, or custom-work fee is refundable only if you cancel before work begins. Once discovery, configuration, knowledge preparation, integration, testing, or other ordered work has started, the fee is non-refundable to the extent earned or committed. If we cancel before providing the paid work for reasons not caused by you, we will refund the unearned portion.

Initial subscription payment

You may request a refund of the first recurring managed-service payment within seven calendar days after the first paid subscription period begins. If the request is timely and meets these conditions, we will refund that payment after deducting consumed usage, carrier and third-party charges, top-ups, completed custom work, and other non-recoverable costs disclosed in the Order. The refund right does not restart after a trial, plan change, cancellation, or later resubscription by the same customer.

Renewals and other charges

Renewal payments and fees for a billing period that has begun are non-refundable, except for duplicate or erroneous charges, material Services not provided by ConvoRev, an express written guarantee in your Order, or where required by law. Prepaid credits, top-ups, metered usage, AI or messaging consumption, phone numbers, carrier charges, and third-party fees are non-refundable once purchased, allocated, or incurred.

Requesting and receiving a refund

Email hello@convorev.com with the account email, charge date, amount, and reason. Approved card refunds are returned to the original payment method. We generally initiate an approved refund within five business days, but the bank or card network may require additional time to post it.

No physical returns: ConvoRev provides digital and managed services, so there is no product return or shipping process.

10. Customer responsibilities

You are responsible for:

  • Providing accurate, lawful, current, and non-misleading business information, pricing, policies, availability, qualification criteria, and agent instructions.
  • Reviewing the agent's scope and outputs, maintaining a human escalation path, and promptly correcting outdated or inaccurate knowledge.
  • Obtaining necessary rights, notices, consents, and permissions for Customer Content, connected accounts, marketing, cookies, recordings, and communications.
  • Maintaining required third-party accounts, permissions, payment methods, licenses, and platform compliance.
  • Responding to escalated conversations and making final decisions that require human judgment.
  • Using the Services in compliance with applicable law, industry obligations, and third-party platform terms.

11. Messaging, marketing, and consent

You control the audiences, channels, business purposes, and instructions for communications sent on your behalf. You are responsible for having valid consent or another lawful basis and for complying with applicable anti-spam, telemarketing, privacy, recording, do-not-contact, and marketing laws, including CASL, the TCPA, and similar rules where they apply.

You must honour opt-outs and suppression requests and must not use purchased, scraped, or unlawfully obtained contact lists. ConvoRev may block, suspend, or require changes to campaigns or workflows that create legal, deliverability, platform, security, or reputational risk.

12. Acceptable use

You may not use the Services to:

  • Violate law, third-party rights, platform rules, or applicable messaging and marketing requirements.
  • Send spam, deceptive messages, scams, malware, harassment, hate, unlawful discrimination, or fraudulent offers.
  • Impersonate a person or misrepresent AI output as licensed professional advice or a guaranteed human response.
  • Make fully automated high-impact decisions about employment, housing, credit, insurance, healthcare, legal rights, or eligibility without required safeguards and express written approval.
  • Submit payment card numbers, account passwords, government identifiers, health records, biometric data, or other highly sensitive information unless the use is expressly approved in writing and appropriate controls are in place.
  • Probe, disrupt, overload, reverse engineer, bypass limits, gain unauthorized access, or use the Services to build a competing model or service except where such restriction is prohibited by law.

13. Customer Content, data, and privacy

"Customer Content" means information, knowledge, messages, files, prompts, instructions, credentials, and other materials supplied by or for you or processed through your configured Services. As between you and ConvoRev, you retain your rights in Customer Content.

You grant ConvoRev and its providers a non-exclusive, worldwide right to host, copy, transmit, transform, display, and otherwise process Customer Content only as reasonably necessary to provide, secure, support, and improve the contracted Services; comply with law; and enforce this agreement. You represent that you have all rights and lawful authority required for that processing.

Our Privacy Policy explains how we handle personal information. If required for a deployment, the parties may enter a separate data processing agreement. Unless expressly agreed in writing, the Services are not designed to store regulated health information, payment card data, or other data requiring specialized compliance.

14. Intellectual property

ConvoRev and its licensors retain all rights in the Services, platform configuration methods, software, templates, workflows, documentation, designs, know-how, and improvements, excluding Customer Content. Subject to payment and these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services during the applicable term for your authorized business purposes.

If you provide feedback, you grant us the right to use it without restriction or compensation, provided we do not identify you publicly without permission. Public use of your name, logo, testimonial, or results requires your prior permission unless an Order states otherwise.

15. AI limitations and human oversight

AI-generated replies and classifications are probabilistic and may be incomplete, inaccurate, outdated, biased, or unsuitable. You must use appropriate human review, especially for complaints, exceptions, safety issues, sensitive requests, commitments, and high-impact decisions.

ConvoRev does not guarantee leads, response rates, appointments, applications, sales, revenue, uninterrupted availability, or that every message will be delivered, understood, or handled correctly. Results depend on traffic, offer quality, customer data, instructions, third-party platforms, user behaviour, and timely human follow-up.

16. Third-party services and integrations

The Services may depend on AI providers, messaging channels, social networks, CRMs, calendars, ecommerce systems, automation platforms, hosting providers, and other third parties. Your use of a third-party service may be governed by its separate terms, fees, policies, limits, reviews, and availability.

We are not responsible for a third party's independent acts, outages, policy changes, account restrictions, data practices, or discontinuation. We may modify or discontinue an integration when reasonably necessary and will attempt to provide notice for material changes when practical.

17. Confidentiality

Each party may receive non-public information that is marked confidential or should reasonably be understood as confidential. The receiving party will use reasonable care to protect it and use it only to perform or receive the Services. Confidential information does not include information that is public without breach, already lawfully known, independently developed, or lawfully obtained without confidentiality duty.

A party may disclose confidential information when legally required after giving notice where permitted. ConvoRev may disclose it to personnel and providers who need it and are subject to appropriate confidentiality duties.

18. Suspension and termination

We may suspend or limit Services when reasonably necessary to address overdue payment, prohibited use, security threats, legal requirements, third-party platform restrictions, or material risk to ConvoRev, a customer, or another person. When practical, we will provide notice and an opportunity to cure.

Either party may terminate for a material breach not cured within 10 days after written notice, or immediately if the breach cannot reasonably be cured. ConvoRev may terminate a free or trial Service at any time. Termination does not eliminate payment obligations already incurred.

After termination, your right to use the Services ends. On written request made before termination or within 30 days afterward, and subject to technical availability, payment, law, and third-party restrictions, we will reasonably assist with exporting available Customer Content in a standard format. We may delete Customer Content after that period in accordance with our retention practices.

19. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." ConvoRev disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Services will meet every requirement or that all defects or harmful components will be corrected.

Nothing in these Terms excludes a warranty, condition, right, or remedy that cannot lawfully be excluded.

20. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunities, or data, arising from or related to the Services, even if advised that such damages were possible.

To the maximum extent permitted by law, each party's total aggregate liability arising from or related to the Services will not exceed the fees paid or payable by you to ConvoRev for the Services giving rise to the claim during the 12 months before the first event giving rise to liability.

These exclusions and limits do not apply to payment obligations; violation of the other party's intellectual-property rights; breach of confidentiality; fraud, wilful misconduct, or gross negligence; indemnification obligations; or liability that cannot lawfully be limited.

21. Indemnification

You will defend, indemnify, and hold harmless ConvoRev and its personnel from third-party claims, damages, penalties, costs, and reasonable legal fees arising from Customer Content; your products, services, offers, or communications; your violation of law, platform terms, or these Terms; or your infringement of another person's rights. We will promptly notify you of a covered claim and reasonably cooperate at your expense. You may not settle a claim in a way that admits fault or imposes obligations on ConvoRev without our written consent.

22. Governing law and disputes

These Terms and any dispute arising from them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts located in Ontario, Canada, except that either party may seek urgent injunctive relief in any court of competent jurisdiction.

Before filing a claim, the parties will make a good-faith effort for at least 30 days to resolve the dispute through written notice and direct discussion. This requirement does not prevent urgent injunctive relief or a claim that must be filed sooner to preserve a legal right.

23. Changes to these Terms

We may update these Terms to reflect changes in the Services, business practices, risk, or law. We will post the updated Terms and revise the date above. Material changes will apply prospectively, and we will provide additional notice where required by law. If you do not agree to a material change, you may stop using the Services and cancel before it takes effect.

24. General terms

Neither party may assign this agreement without the other's consent, except to an affiliate or in connection with a merger, reorganization, financing, or sale of substantially all relevant assets, provided the assignee assumes the obligations. ConvoRev may use subcontractors and remains responsible for its obligations under this agreement.

Neither party is liable for delay or failure caused by events beyond its reasonable control, excluding payment obligations. The parties are independent contractors; these Terms do not create employment, agency, partnership, joint venture, fiduciary, or franchise relationships.

If part of these Terms is unenforceable, it will be modified to the minimum extent necessary and the remainder stays effective. A waiver must be in writing and is not a continuing waiver. Headings are for convenience only. These Terms, together with applicable Orders and incorporated policies, are the entire agreement about the Services and replace prior discussions on that subject.
